Merger & Restructuring Notice of KAY Studio and WANG YU KAI Studio (US)
Dear Valued Customers,
We are pleased to inform you that KAY Studio and WANG YU KAI Studio(US) have officially entered into a merger agreement, approved by both parties’ shareholders on January 22, 2025. The merger will take effect on July 22, 2025.

1. Merger Details
• The merger will follow a "Surviving Entity" structure, with KAY Studio continuing operations, and WANG YU KAI Studio(US) being dissolved.
• KAY Studio will inherit all assets, liabilities, contracts, and customer relationships.
• The 100% equity of WANG YU KAI Studio(US) will be converted, in accordance with legal requirements in both Taiwan and the United States.
• The US office will be closed, with legal registration retained only for statutory purposes.
• Employees from the US branch will be laid off in compliance with US labor laws (e.g., WARN Act), while key staff will relocate to Taiwan.

2. Customer Rights & Data Protection
• All existing contracts, transaction records, accounts, and privacy agreements will remain valid and unchanged.
• US customers do not need to take any action; systems will automatically complete the migration.
• From July 22, 2025, all previous cross-usage of personal data between KAY Studio and WANG YU KAI Studio(US) will be terminated.
• Future marketing or data use will be subject to new consent, per Taiwan's Personal Data Protection Act Article 8.

3. Website Redirect & Service Migration
• The official site of WANG YU KAI Studio(US) https://wyks.ykh.today will redirect to https://kaystudio.idv.tw effective immediately.
• The US site will be officially shut down on January 1, 2026.
• Please use the KAY Studio website for future access and support.

4. Loyalty Points Conversion
• All WANG YU KAI Studio(US) points will be converted at a 300:1 ratio into KAY Studio points.
• Please log in with LINE (@648aakvt) and contact your service representative to complete the conversion.
• Original points expire on December 31, 2025; converted KAY Studio points will be valid until December 31, 2026.
